Terms of Service

1. Agreement to Terms

By downloading, accessing, or using Rally ("the App," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

We may update these Terms from time to time. Continued use of Rally after changes are posted constitutes acceptance of the revised Terms. We will notify you of material changes through the App or by email.

2. Eligibility

You must be at least 13 years old to use Rally. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We may request proof of age at any time and may terminate accounts that do not meet this requirement.

3. Account Registration

To use Rally, you must create an account by signing in with Google, Apple, or Facebook. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration.

You may not create accounts for the purpose of impersonating another person, or create multiple accounts to circumvent enforcement actions.

4. How Rally Works

Rally is a social planning app that helps friends coordinate events, share availability, and communicate in groups. Key features include:

  • Group chats for planning with friends
  • Event creation with RSVPs and scheduling
  • Calendar availability sharing (busy/free status only)
  • Approximate location sharing for group coordination
  • Contact-based friend discovery (using hashed phone numbers)
  • Scout, an AI assistant powered by OpenAI (see Section 7)

5. Acceptable Use

You agree not to use Rally to:

  • Harass, bully, threaten, or intimidate other users
  • Post or share content that is illegal, abusive, hateful, or sexually explicit
  • Spam or send unsolicited messages
  • Impersonate another person or entity
  • Attempt to gain unauthorized access to other users' accounts or our systems
  • Use the App for commercial purposes without our written consent
  • Reverse-engineer, decompile, or disassemble any part of the App
  • Attempt to manipulate or abuse the Scout AI assistant (e.g., prompt injection, generating harmful content)
  • Upload malware or malicious content

We reserve the right to investigate and take action against violations, including removing content and suspending or terminating accounts.

6. User Content

You retain ownership of the content you create and share on Rally, including messages, event details, and profile information ("User Content"). By posting User Content, you grant Rally a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of operating and providing the App.

You are solely responsible for the content you share. We do not monitor all User Content but may remove content that violates these Terms or applicable law.

7. Scout AI Assistant

Rally includes an AI assistant called Scout, powered by OpenAI, that can respond in group chats when mentioned. By using Scout, you acknowledge the following:

  • AI-generated content disclaimer: Scout may produce information that is inaccurate, incomplete, or outdated. Responses are generated by AI and should not be relied upon as professional, legal, medical, or financial advice. Always verify important information independently.
  • Data sharing: When Scout is invoked in a group chat, message content, group member names, and approximate location data may be sent to OpenAI to generate a response. See our Privacy Policy for details.
  • No guarantee of availability: Scout may be unavailable, rate-limited, or modified at any time without notice.

Rally is not responsible for any actions taken based on Scout's responses.

8. Privacy

Your use of Rally is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using Rally, you consent to our data practices as described in the Privacy Policy.

9. Account Termination

By you: You may delete your account at any time from within the App (Profile > Settings > Delete Account). Upon deletion, your personal data will be permanently removed as described in our Privacy Policy.

By us: We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law. We will make reasonable efforts to notify you, but are not obligated to do so in cases involving safety or legal requirements.

10. Intellectual Property

The Rally app, including its design, code, branding, logos, and features, is owned by Rally and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Rally without our prior written consent.

11. Disclaimers

Rally is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The App will be uninterrupted, secure, or error-free
  • Any content or information obtained through the App (including Scout responses) will be accurate or reliable
  • Any defects in the App will be corrected

12. Limitation of Liability

To the maximum extent permitted by applicable law, Rally and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or damages arising from your use of or inability to use the App.

In no event shall Rally's total liability to you for all claims arising from or related to your use of the App exceed the amount you paid to Rally in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Rally and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your User Content, or your violation of these Terms.

14. Dispute Resolution

If you have a dispute with Rally, we encourage you to contact us first at admin@rallyapp.io so we can try to resolve the issue informally.

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rally regarding your use of the App.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
